The Board of neutral data centre provider NEXTDC Limited (“NEXTDC” or “the Company”) is
pleased to announce that the Company has today lodged a Prospectus with the Australian
Securities and Investments Commission (ASIC) seeking to raise $40 million and has applied to
list on the Australian Securities Exchange (ASX).
NEXTDC expects to complete its capital raising and list on ASX in mid-December 2010.
The $40 million IPO capital raising is fully underwritten by Joint Lead Managers, Moelis &
Company and RBS Morgans. The retail offer, comprising a broker firm offer and a priority
offer, will be managed by RBS Morgans Limited. There is no offer to the general public.
NEXTDC was incorporated in May 2010 and has received $20 million of initial equity capital
from its entrepreneurial founder, Bevan Slattery.
With its initial capital, the Company has already secured sites in Melbourne and Brisbane. It is
currently in various stages of planning and development of two data centres on those sites.
The Company is targeting an expansion into Sydney following its IPO.
In addition to the initial equity of $20 million and the $40 million IPO capital raising, the
Company has secured a credit approved finance facility of $40 million provided by a major
Australian bank.
With total equity and debt funding of up to $100 million to complete its initial facilities in
Brisbane and Melbourne and targeted expansion into Sydney, the Directors believe that
NEXTDC will be well-positioned to meet the requirements of corporate and government
customers in its initial data centre facilities and target markets during the coming years.
Independent market research indicates that data centre supply-side constraints are expected
to continue, given a mix of factors including limited site availability, limited access to the
expertise required in constructing and operating a data centre, and the essential significant
upfront capital investment.
Upon listing on the ASX, NEXTDC will be the only ASX-listed large scale neutral data centre
operator in Australia.
